Introduction

This website is under the ownership of Ragtime Music Pte. Ltd. (hereinafter referred to “Ragtime Music”, “we”, “our”, “us”). By using this website, you have agreed to accept all terms and conditions written here.

You should not use this website if you disagree with any of these terms and conditions written here. These terms and conditions are applicable to all teachers who register on our website. You agree that by filling this teacher registration form, you must be at least eighteen (18) years of age or older. Your access to and usage of the music education service is conditioned on your acceptance of and compliance with these terms and conditions.

Registering as a Teacher on our Website

To register and become a “member” of our website, you need to be in good standing and should not be someone who was previously barred from receiving our services.

When you register, Ragtime Music may collect information such as your name, birth date, gender, race, occupation and personal interests. This is entirely due to the client’s preferences and there is no violation of Article 12 of the Constitution of the Republic of Singapore.

Users who wish to use the services provided by Ragtime Music are required to provide accurate, valid, complete and current information about themselves as prompted by the registration forms provided. You agree to update your information should there be any changes, in order to keep registered information complete, true and accurate. If you provide information that is not accurate or updated, we reserve the rights to stop providing you with our services and may terminate your access to future use of our website and services. We will not be responsible for any failures in providing our services due to untrue, inaccurate and incomplete information provided to us.

Ragtime Music reserves the right to use your registration information for its intended purpose, for example sending a teacher’s profile (name, qualifications etc.) to prospective clients directly, or posting a client’s profile (address, requirements etc.) to the teachers. Or, for instance, providing the contact number of a client to a teacher who has arrived at their doorstep. Nonetheless, your personal information (name, date of birth, telephone number etc.) will not be revealed in public. For full information, do refer to our privacy policy.

Rates, Commission and Payment

All currency references are in Singapore dollars (SGD). You shall be responsible for the payment of all levies, duties or taxes that are imposed by taxing rules for payment or fees you may collect through using our services.

Our commission is a fixed rate of the first two (2) lessons fees. Subsequent fees for the lessons will go to the teacher. We encourage the teacher to collect his or her fees on a lesson by lesson basis (i.e. collecting the fees after each lesson) for easy tracking of lessons conducted.

Lesson rates listed on our website are merely guidelines. The exact prices for the music lessons may differ depending on the client’s requirements, market conditions, availability of teachers, etc. The teachers can establish their preferred rates. However, the final price shall be a price agreed upon by both parties and this final price will be confirmed via an official confirmation invoice sent by Ragtime Music.

If the teacher owes Ragtime Music any outstanding amount, Ragtime Music will try its best to request for payment via email, sms messages or phone calls. After fourteen (14) days, if the payment is still not made, Ragtime Music shall send payment reminder letters by mail. The client’s or teacher’s information may also be sent to our lawyers for further recovery actions if settlement of the outstanding payment is still delayed despite payment reminder letters sent. The debtor shall be liable to pay all costs including administrative and lawyer costs incurred by Ragtime Music in retrieving the money owed by the debtor.

Lesson rates agreed upon should not be changed unless the clients and teachers mutually agree to the new lesson rates. Nevertheless, Ragtime Music reserves the right to claim its commission based on the original agreed upon lesson rate.

We will collect our commission (fees of two (2) conducted lessons) directly from the client. If the client decides to pay the teacher directly and bypass the agency, the client is liable to pay Ragtime Music the commission amount, in addition to any administrative fees incurred by the agency in collecting the fees, in the event that we fail to collect our commission from the teacher.

In general, teachers shall not collect the agency’s commission from the client directly. If they do so, they should inform the agency immediately. Upon notice by the agency, they shall make payment to the agency the full amount of commission within three (3) days. Teachers who fail to follow these instructions shall be liable to pay the full amount of commission and additionally, administrative fees incurred by the agency when collecting the payment from the teacher.

Ragtime Music reserves the rights to change the commission rate due to non-fulfilment of the teacher’s obligations or other reasons. Clients are liable to pay the lesson fees for all attended lessons, regardless of how satisfactory the lessons were. Refunds may be made to the client’s bank account in the case of the violations of terms by the teacher or other reasons. The client can also be charged for improper or unfulfilled payment obligations, or the violation of terms. The teacher can also be charged for the violation of terms.

If there are disputes or concerns regarding lesson fees between teachers and clients, Ragtime Music will provide assistance, to our reasonable means, to help teachers claim fees from clients and vice versa. However, Ragtime Music shall not be legally responsible for any payment disputes between teachers and clients. Clients shall inform the agency and the teacher (if the client has the teacher’s contact) if a postponement or cancellation of any lesson is needed. If the teacher is only informed less than three (3) hours away to the start time of the lesson, clients shall be liable to pay for the lost time and transport cost to the teacher. The amount payable is 50% of the fees of one (1) lesson. The client shall pay this amount in cash immediately on the teacher’s next visit or via bank transfer to the teacher if there is no more next visit. Cancellations or postponement of lessons shall not affect our commission amount.

Rules and Regulations for Teachers and Clients

The client may request a replacement teacher or cancel at any time after the first lesson, but will still have to pay the attended lesson fees to Ragtime Music.

The music lesson period is usually stated clearly when we arrange the music teaching assignment. In the event that the teaching period is not specified, all parties should be prepared to commit for at least 3 months. In the event that there is premature disruption of lessons (i.e. before the teaching period ends or if not specified, before the 3 months mark), clients and teachers are expected to inform the agency about the matter. The client shall still pay for the lessons attended. If lessons are terminated within the first two (2) lessons, all the fees will go to the agency as commission. Teachers may also be given a partial amount of the commission but at Ragtime Music’s discretion. However, if lessons are terminated after the first two (2) lessons, the teacher shall receive the remaining amount, excluding the two (2) lessons commission that goes to the agency. Nonetheless, clients can request for a refund by contacting the agency with valid reasons, however refunding will be at Ragtime Music’s discretion.

There is an unspoken agreement to complete minimum 1 lesson upon the teacher’s confirmation. If the client decides to cancel after 1 or more lessons for any reason, the client shall only pay for conducted lessons. However, for cancellations before the first lesson has even commenced, clients will be liable for administrative fees no less than the equivalent of the first lesson fees which must be paid by the due date specified in the invoice.

Clients shall inform the agency and the teacher (if the client has the teacher’s contact) if a postponement or cancellation of any lesson is needed. If the teacher is only informed less than three (3) hours away to the start time of the lesson, clients shall be liable to pay for the lost time and transport cost to the teacher. Clients are allowed to renegotiate the schedule with the teachers. However, the date and time of the first and second lesson shall be fixed and held to. In the event of such unforeseen circumstances, the client or the teacher has to inform Ragtime Music as soon as possible. Depending on the situation, Ragtime Music will then advise on what should be done. Any changes to the schedule will not affect Ragtime Music’s commission or the due date by which the client should make payment to Ragtime Music as stated on the invoice.

Special Requirements by Teachers and Students

In the event that either the teacher and/or student makes a set of special requirements that would render any of the above terms void, both parties must come to a mutual agreement of the special requirements before proceeding with lessons. These terms would be recorded down by us beforehand and would be followed for the entirety of the student's lessons with this particular teacher, until further amendments are made.

Teachers’ Code of Conduct

Ragtime Music expects all teachers to conduct themselves appropriately in a professional and ethical manner. General rules include, but are not limited to:

  1. Always be on time and always deliver a full tuition session. In the event of unforeseen circumstances and you will be late, please inform the student or his or her parent(s) as soon as possible. Please also make up for the lost lesson time for the student, either by extending the lesson timing of that day or by making it up on another day. However, do politely make arrangements with the student or his or her parent(s) before making any decisions.
  2. Always provide at least two days’ notice if a change of timing is needed, unless sudden sickness. In this case, MC must be provided.
  3. No physical and verbal abuse will be tolerated (e.g. caning or vulgarities).
  4. Do have regular communication with the parents to keep them updated on the progress of the student.
Member's Code of Conduct (Applicable for Both Teachers and Clients)

As a member of Ragtime Music, you agree that Ragtime Music may, without any prior written notice, immediately terminate or suspend your profile and your access to any of our services. The cause for such termination or suspension shall include, but is not limited to:

  1. Any breach or violation of our Terms and Conditions or any incorporated agreement, regulation and/or guideline.
  2. By way of request from law enforcement or any other government agencies.
  3. Unexpected technical or security issues and/or problems.
  4. Any extended periods of inactivity.
  5. Any engagement by you in any fraudulent or illegal activities.
  6. The non-payment of any associated fees that may be owed by you.
  7. Unethical conduct.
  8. Poor performance.

In addition, you agree that any and all terminations and suspensions for cause is made at our sole discretion and we shall not be responsible to you or any other third parties with regards to the termination and/or suspension of your profile. Furthermore, you accept that Ragtime Music may cease operations at any time.

The termination of your profile may contain any/or all of the following:

  1. The removal of your access to all or part of the services offered by Ragtime Music.
  2. The deletion of all related information, files, and any such content that is associated with your profile.
  3. The barring of any further use of all or part of our website.
Limitation of Liability and Indemnification

Ragtime Music does its best to ensure all information on the website is accurate. If you find any inaccurate information on the website, please let us know by sending an email and we will correct it, where we agree, as soon as possible.

As we mostly rely on information submitted by users online, we cannot guarantee the qualifications and other information about our teachers. Ragtime Music does its best to provide accurate music lessons matching services. However, no one is free of human error. For example, making errors in tuition rates or address in our messages or invoice, etc.

Ragtime Music gives no warranty or assurance about the content of the website. As the website is under constant development, its contents may be incorrect or out-of-date and are subject to changes without notice. While we make every effort to ensure that the content of the website is accurate, we will not be liable for the accuracy of all the content at any given point in time.

Ragtime Music makes every effort to ensure that its computer infrastructure is virus and error free but does not warrant that any content that is available for downloading on our website does not not contain viruses or codes that have destructive or contaminating properties. You are responsible for carrying out sufficient procedures and virus checks (including anti-virus and other security verifications).

Neither Ragtime Music nor any of its employees, sub-contractors and agents shall be liable to you or any other party for any loss, demand, damages or claim whatsoever (whether such loss, demand, damages or claims were known, foreseeable, or otherwise) arising from the usage of our website, or the information, materials or content included on the website.

Ragtime Music will try to provide clients and teachers with the best match possible, but due to varying factors, we cannot guarantee good results. While Ragtime Music will try to resolve conflicts between teachers and clients, we hold no legal liability for problems and disputes that arise. Neither Ragtime Music nor any of its employees, sub-contractors and agents shall be responsible for any quarrels, clashes, crime, which may happen between the clients and the teachers.

In no event shall Ragtime Music or any of its employees, sub-contractors or agents be liable for any indirect or consequential damage or loss including, without limitation, any:

  1. Loss of actual or anticipated profits
  2. Loss of revenue
  3. Loss of business
  4. Loss of opportunity
  5. Loss of anticipated savings
  6. Loss of reputation
  7. Loss or damage or corruption of data

The website provides hyperlinks to other sites operated by other services. By clicking on these links, you are leaving our website. Ragtime Music takes no responsibility for whatever that happens on that site. We are not liable for the privacy practices, nor do we accept any responsibility in connection with the information on these websites.

The information on our website does not constitute any form of recommendation or advice by our service and is not intended to be relied upon by you in making any decisions. You should make specific inquiries and independently verify any information before relying on it.

At the request of our clients or teachers, we may need to specify gender or race preferences in the jobs or marketing messages we send out via various communication channels. This is purely due to clients’ or teachers' specified preferences. We are fully supportive and cooperative towards the Tripartite Alliance for Dispute Management (TADM) guidelines. We do not encourage or condone any form of discrimination.

You agree to defend, hold and indemnify harmless Ragtime Music, its directors, agents, officers, employees, and third parties, for any costs, losses, liabilities and expenses (including reasonable fees) relating to or arising from any user postings made by you, your violation of any terms of this contract or your breach of any third parties rights, or your violation of any applicable laws, rules or regulations.

Obligations

As a condition for your use of the website, you agree that you will not use the website for any reasons that are illegal or prohibited by these terms and conditions. You may not use the website in any manner, which could damage the website. You may not attempt to obtain any materials or information through any methods that are not available or provided by our service.

You agree that you will follow, without limitation, all applicable international, national and local laws and regulations concerning your usage of our services and will not inhibit the usage and enjoyment of the service by other users or with the operations and management of the website.

You shall provide accurate information when providing materials or information to our website, including, without limitation, information required to be provided to us (e.g. certificates, documents or photos). If you submit any inaccurate, false, unauthorised or incomplete information, Ragtime Music reserves the right to terminate your use and access to our services temporarily or permanently.

You agree that you will not impersonate any others when using the service, or defame or otherwise harm any party through your use of our services.

Ragtime Music also reserves the right not to provide services for clients or teachers without reason.

Ragtime Music owns this website and the materials on our website unless otherwise stated. There should be no circumstances where a user can use or publish our materials without direct permission from us.

Use of Communication Services

The site may contain comments sections and chat groups created to enable users to communicate. You shall only use these communication services to send, receive and post materials and messages that are proper and related to the particular communication service. For example, you agree to not use the communication services to harass, abuse, stale, threaten, defame or otherwise violate the legal rights (e.g. privacy) of others. You will not post, distribute, upload or publish any inappropriate materials, information etc.

Ragtime Music has no obligation to monitor the communication services. We do not control or endorse the content, messages or information found in these communication services and therefore Ragtime Music specifically disclaims any liability in the matter of the communication services and any actions resulting from your actions in these communication services. Ragtime Music reserves the right to review materials posted to these communication services and to remove any materials. Ragtime Music has the right to terminate the user’s access to any of the communication services at any time without notice.

In addition, you agree to be contacted by Ragtime Music through emails, phone calls or messages (whether normal messaging, through Whatsapp or through Telegram) for purposes such as to inform you about our upcoming activities or to facilitate the matching between students and teachers (to inform you about the shortlisted teacher, to share the assignments available et cetera).

Modification of Terms

Ragtime Music reserves the rights to change or substitute the Terms and Conditions. It is the user’s responsibility to scan the Terms and Conditions periodically for modifications. The user’s continued usage of the services following the modifications to their terms and conditions will be subject to the new terms and conditions. Should you not agree to the new modifications or new additions to the terms and conditions, you should immediately stop using our services.

Conclusion

Unless otherwise specified, this contract constitutes the entire agreement between the user and Ragtime Music regarding the use of this website. A printed version of this agreement and any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or on this agreement to the same extent and subjected to the same conditions as other documents and records originally generated and maintained in printed form. It is required to the parties that this agreement and all related documents are written in English.
